Terms of Service

These Terms form a binding agreement between you and SG. You represent that you are at least 18 years old and have legal capacity to enter this agreement. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

We may modify these Terms at any time. Updated Terms will be posted with a revised effective date. Your continued use after changes constitutes acceptance. You are responsible for reviewing Terms periodically.

SG provides talent management, brand partnership facilitation, marketing, consulting, publishing, and related entertainment industry services. SG may also reference or link to affiliated platforms such as SGSuperFans. SG does not guarantee roster acceptance, partnership outcomes, earnings, follower growth, placements, bookings, or any specific result.

Subject to these Terms, SG grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for lawful personal or internal business purposes. You may not scrape, copy, mirror, frame, resell, or exploit the Services except as expressly permitted.

You agree to provide accurate, current, and complete information in applications, forms, and communications. SG may accept or reject any application or inquiry in its sole discretion. You are responsible for maintaining confidentiality of any credentials and for all activity under your account.

You retain ownership of content you submit ("User Content"), but grant SG a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, adapt, publish, display, distribute, and create derivative works from User Content in connection with the Services, marketing, portfolio presentation, and business operations.

You represent that you own or control all rights in User Content and that submission does not violate law or third-party rights. SG may remove or refuse User Content at any time without liability.

• Violating any law, regulation, or third-party rights.
• Submitting false, misleading, defamatory, obscene, harassing, hateful, or infringing content.
• Attempting unauthorized access, probing, or disrupting the Services or related systems.
• Transmitting malware, spam, bots, or automated scraping without written consent.
• Impersonating any person or entity or misrepresenting affiliation with SG.
• Using the Services for unlawful discrimination, exploitation, or harmful conduct.

The Services, including text, graphics, logos, trademarks, software, and design, are owned by SG or licensors and protected by intellectual property laws. No rights are granted except as expressly stated. Unauthorized use is prohibited.

SG may reference third-party platforms, including SGSuperFans. Third-party services are provided by their respective operators under separate terms. SG is not responsible for third-party availability, policies, fees, payouts, moderation, or conduct.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

SG DOES NOT WARRANT UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION. INFORMATION ON THE SERVICES IS FOR GENERAL INFORMATION ONLY AND IS NOT PROFESSIONAL, LEGAL, FINANCIAL, OR CAREER ADVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SG AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SG'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED CANADIAN DOLLARS (CAD $100) OR (B) THE AMOUNTS YOU PAID TO SG FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS. IN SUCH CASES, LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

You agree to defend, indemnify, and hold harmless SG and its officers, directors, employees, agents, affiliates, licensors, and partners from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms or law; or (d) your infringement of third-party rights.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Before filing a claim, you agree to contact us and attempt good-faith informal resolution for at least thirty (30) days.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND SG AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Except where prohibited, you agree that exclusive jurisdiction and venue for disputes shall lie in the courts located in Ontario, Canada, and you waive any objection to such jurisdiction or venue.

SG may suspend or terminate access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, provisions that by nature should survive will survive, including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.

SG is not liable for delay or failure to perform due to events beyond reasonable control, including acts of God, war, terrorism, labor disputes, internet failures, platform outages, governmental actions, or pandemics.

These Terms, together with referenced policies, constitute the entire agreement regarding the Services. If any provision is unenforceable, the remainder remains in effect. SG's failure to enforce any provision is not a waiver. You may not assign these Terms without SG's consent. SG may assign freely.
